END USER LICENSE AGREEMENT (FREE THEME)

IMPORTANT: PLEASE READ THIS END USER LICENSE AGREEMENT (“AGREEMENT”) CAREFULLY BEFORE DOWNLOADING, INSTALLING, OR USING THIS THEME. BY DOWNLOADING, INSTALLING, OR USING THIS THEME FROM THE HUBSPOT MARKETPLACE, YOU (THE “LICENSEE”) AGREE TO BE BOUND BY THE TERMS AND CONDITIONS OF THIS AGREEMENT AND THE HUBSPOT MARKETPLACE TERMS OF USE.

1. PERMITTED USE
   Subject to the terms of this Agreement, the Author (Sameer Paudel) grants you a non-exclusive, non-transferable, revocable license to:

• Download, install, modify, and customize this theme on any HubSpot portal where it has been installed directly via the official HubSpot Marketplace.
• Use this theme to build, host, and maintain websites, landing pages, or blogs on the HubSpot CMS for yourself, your company, or your clients.

1. RESTRICTIONS
   You expressly agree that you shall NOT:

• Sell, resell, sub-license, rent, lease, redistribute, or offer this theme (or any modified version thereof) on any marketplace, website, repository, or third-party platform.
• Extract, isolate, or harvest specific modules, HubL code, CSS, JavaScript, or design assets from this theme for use in competing products, commercial templates, or standalone distribution.
• Claim authorship, ownership, or sole copyright of the original theme design, code structure, or underlying framework.
• Remove, obscure, or alter any copyright notices, trademark headers, or legal attribution embedded within the theme source files.

1. INTELLECTUAL PROPERTY & OWNERSHIP
   All intellectual property rights, titles, code, designs, HubL components, and assets included in this theme remain the sole and exclusive property of Sameer Paudel. Except for the limited license granted herein, no rights, titles, or interests are transferred to the Licensee.
2. THIRD-PARTY COMPONENTS & ASSETS
   Any third-party code libraries, scripts, fonts, or media assets embedded within or bundled with this theme are distributed under their respective open-source or commercial licenses (such as MIT or Apache 2.0). Licensee agrees to comply with all applicable third-party licenses.
3. DISCLAIMER OF WARRANTY & LIMITATION OF LIABILITY
   THIS THEME IS PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NONINFRINGEMENT.

IN NO EVENT SHALL THE AUTHOR (SAMEER PAUDEL) BE LIABLE FOR ANY CLAIM, DIRECT OR INDIRECT DAMAGES, LOSS OF DATA, LOSS OF PROFITS, BUSINESS INTERRUPTION, OR OTHER LIABILITY, WHETHER IN AN ACTION OF CONTRACT, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE, ARISING FROM, OUT OF, OR IN CONNECTION WITH THE USE OF, OR INABILITY TO USE, THIS THEME OR ANY MODIFICATIONS MADE THERETO.

6. GOVERNING LAW & JURISDICTION
   This Agreement shall be governed by, construed, and enforced in accordance with the HubSpot Marketplace Terms of Use and the laws of the Commonwealth of Massachusetts, U.S.A., without regard to its conflict of law principles. Any legal dispute or claim arising under this Agreement shall be subject to the exclusive jurisdiction of the state and federal courts governing HubSpot, Inc.
7. TERMINATION
   This license is effective until terminated. Your rights under this license will terminate automatically without notice if you fail to comply with any of its terms. Upon termination, you must cease all use of the theme and delete all copies in your possession or control.
